Terms of service and privacy

Read this first, if you are the operator of this system. These are a plain-English starting point, not legal advice, and they have not been reviewed by a lawyer. Before you take a paying customer you should have a solicitor check them against the Indian Contract Act, the Digital Personal Data Protection Act 2023, and the GST rules on invoicing for services. What is here is meant to be honest and specific enough to be worth reviewing — not to be relied on as it stands.

1. What this service is

We provide a hosted manufacturing ERP: item and recipe management, purchasing, goods receiving, inventory, production planning, sales, invoicing and maintenance. You use it to run your business; we run the software.

2. Your data is yours

Everything you enter — your items, recipes, batches, customers, prices and records — belongs to you. We do not sell it, we do not share it with other customers, and we do not use it to train anything.

Your data is separated from every other customer's by the database itself, not merely by the screens: each company's records carry an identifier and the database refuses a query that reaches outside it, even one that forgets to ask correctly.

You can take a full copy at any time from the Company Account screen — a set of CSV files that open in any spreadsheet, with no software of ours needed to read them.

4. Payment

Subscriptions are billed monthly in advance. Indian customers are billed in rupees through Razorpay with 18% GST shown on the invoice; customers elsewhere are billed in US dollars through Stripe, with no Indian GST, as an export of services.

We never see or store your card details. They go directly to the payment provider.

5. If a payment fails

Your account continues for 14 days while we retry and remind you. After that, access is suspended.

Suspension does not delete anything. Every item, batch, order and record stays exactly where it is, and settling the outstanding invoice restores access immediately.

6. If you leave

You can stop at any time; the subscription runs to the end of the period you have paid for. Take your export before or after — we keep your data for 90 days after an account closes so you can come back or collect it, and then we delete it.

7. Availability

We aim for the service to be available whenever you need it, and we will tell you in advance about planned maintenance. We do not offer a contractual uptime guarantee at this stage, and we would rather say so than promise one we have not built the redundancy to keep.

8. Backups

The database is backed up daily and backups are verified by being restored, not merely written. Backups are not a substitute for your own export, and we encourage you to take one periodically.

10. Changes to the software

One codebase serves every customer, so a change for one is a change for all. You can submit change requests from inside the system and watch their progress; whether and when they are built is our decision.

12. Liability

We will fix what we get wrong. Our financial liability is limited to the fees you have paid us in the preceding twelve months. We are not liable for indirect losses such as lost profit or lost production. (This clause in particular is one to have reviewed.)
